1. DEFINITIONS
1.1 "We", "our website", "us", "our" means - Acroleap Systems.
1.2 "You", "your", "buyer" means - you, and includes anyone viewing our website.
1.3 "Terms and Conditions" means - these Terms and Conditions which include and are to be read in conjunction with the following information pages on our website - About Us, Delivery Information, Privacy and Security, Refunds and Returns, and Payment Options.
1.4 "Goods", "products", "purchase" means - any item purchased through our website
2. TERMS AND CONDITIONS
2.1 By placing an order on our website, you agree to be bound by these Terms and Conditions.
2.2 These Terms and Conditions may be amended by us at any time. Amendments are effective immediately once updated on our website.
2.3 These Terms and Conditions were last updated on 14 April 2009.
3. CONTRACT FORMATION
3.1 Invitation to treat - Our website, and prices, are not an offer, but only an invitation to make an offer.
3.2 Offer - by placing an order, you are making an offer to purchase from our website.
3.3 Acceptance - acceptance of your offer will be communicated via email, which will expressly state that your payment has been received and we have arranged delivery of your order. Until such email is sent, no acceptance is given or implied. Website notification (at the checkout) is not acceptance - merely notification that we are considering your offer.
3.4 Contract formation - once we have accepted your offer (as described in 3.3), a contract is formed, and the contract is subject to these Terms and Conditions.
3.5 You are bound to pay us the price once we accept your order. A quotation does not give rise to a binding contract until you place an order which we subsequently accept.
3.6 Variation to these Terms and Conditions - where your offer varies from these Terms and Conditions, we do not accept your variation until we expressly accept that we agree to your variation of these Terms and Conditions.
4. OWNERSHIP AND RISK
4.1 Ownership of all goods remains with us until you pay all monies due for your purchase.
4.2 Subject to Section 8 which deals with warranty issues, risk held in the goods passes to you upon delivery or collection.
5. PRICES
5.1 All prices on our website are in New Zealand dollars.
5.2 All prices on our website include GST (unless specified otherwise).
5.3 All prices on our website exclude delivery (refer to "Delivery Information").
5.4 All prices on our website exclude installation and maintenance.
6. RETURNS AND REFUNDS
Please see "Refunds and Returns", which also form part of these Terms and Conditions.
7. PRODUCT DESCRIPTIONS
7.1 We rely on product images and descriptions of the products listed on our website from our suppliers, product vendors, and product manufacturers. We can not be held responsible for any misrepresentation (intentional or otherwise) by a third-party.
7.2 The buyer is responsible for verifying the suitability of the goods for the buyer's purpose, and we are not liable if the goods are not suitable. If the buyer is unsure of a product's suitability, the buyer should consult the manufacturer before placing an order on our website.
8. WARRANTY
8.1 Acroleap Systems only provides warranty service for products purchased from us.
8.2 The manufacturers warranty applies to all products purchased on our website. We do not provide any additional warranty coverage over and above each manufacturer's published warranty.
8.3 In the event of you needing warranty service, first, refer to the documentation included with your purchase as the warranty procedure is usually included in this documentation.
9. GOVERNING LAW
9.1 Where these Terms and Conditions are in conflict with the laws of New Zealand, then, the laws of New Zealand shall have precedence.
9.2 Any dispute arising between Acroleap Systems and you shall fall under the exclusive jurisdiction of the Courts of New Zealand.
9.3 Where the buyer is purchasing any product from us for the purpose of business, then the Consumer Guarantees Act 1993 shall not apply.
